1. Introduction

Welcome to the GMB Management System (the "Platform" or "Service"). The Platform is operated by Nirosha Enterprises (the "Company", "we", "us", or "our"). These Terms and Conditions ("Terms") govern your access to and use of our review exchange platform.

These Terms constitute a legally binding agreement between you and Nirosha Enterprises. If you do not agree with these Terms, you must not use our Service.

2. Google Association Disclaimer

GMB Management System is an independent third-party platform designed to facilitate review exchanges between businesses. We are not endorsed by, affiliated with, or sponsored by Google in any way. Any references to Google, Google My Business, Google Maps, Google Reviews, or any Google services are for descriptive purposes only.

Google, Google My Business, Google Maps, and all related trademarks and logos are the exclusive property of Google LLC. We do not claim any ownership, endorsement, or association with these trademarks.

3. Google's Rights and Review Policies

3.1 Google's Absolute Authority

Google reserves all rights to monitor, moderate, hide, remove, or delete any review posted on its platform, including but not limited to Google My Business listings and Google Maps.

3.2 Review Violations

Google may remove or hide reviews that it determines violate its policies, including but not limited to:

• Reviews that contain spam, fake content, or misleading information
• Reviews that violate Google's content policies
• Reviews posted by accounts that Google deems inauthentic or suspicious
• Reviews that Google suspects were posted as part of coordinated review exchange programs
• Reviews that Google determines do not comply with its terms of service

3.3 No Control Over Google's Actions

Nirosha Enterprises, the developers of this platform, and all users acknowledge that we have absolutely NO control over:

• Whether Google displays a review or not
• Whether Google removes or hides a review
• Google's review moderation policies and enforcement
• Google's algorithm changes that may affect review visibility
• Any actions Google takes regarding reviews or user accounts

4. Token Credit-Back Policy

4.1 Credit for Removed Reviews

In recognition of the fact that Google may remove or hide reviews, we offer a token credit-back policy:

• If a review is posted through our platform but is subsequently removed, hidden, or not displayed by Google, we will credit back the tokens used for that review exchange
• Credit-back requests must be submitted through our platform within 30 days of the review being posted
• We reserve the right to verify that a review was indeed posted but not displayed or was removed by Google before issuing credit
• Token credits will be processed within 5-7 business days of verification

4.2 Credit-Back Limitations

The following scenarios are NOT eligible for token credit-back:

• Reviews that were never posted (user failed to complete the review posting process)
• Reviews that violate our terms of service or Google's policies
• Reviews removed due to user account suspension or violations
• Reviews that were posted but later edited or deleted by the user themselves

5. Platform Services and Limitations

5.1 What We Provide

GMB Management System is a platform that provides the following services:

• Matchmaking Service: We facilitate connections between businesses that want to exchange reviews
• Review Generation: We provide AI-powered tools to help generate review content in multiple languages (currently supporting 67 languages)
• Review Management: We provide tools to manage your review bank and track review exchanges
• Platform Infrastructure: We provide the technical infrastructure to facilitate review exchanges

5.2 What We DO NOT Control

5.3 User Responsibility

By using this platform, you acknowledge and agree that:

• You are solely responsible for the content of any review you write or post
• You are responsible for ensuring your reviews comply with Google's policies and terms of service
• You understand that we are only providing a platform for matchmaking and AI-generated review content
• You will not hold Nirosha Enterprises or the platform developers liable for any consequences resulting from reviews posted by you or others
• You understand that review exchanges are agreements between individual users, and we are not a party to these agreements

6. Token System and No Refund Policy

6.1 Token Nature

The Platform uses a token-based system for facilitating review exchanges. Tokens are digital credits that:

• Can be used to participate in review exchanges
• Can be earned by completing review tasks
• Can be purchased through the platform
• Can be credited back if a review is removed by Google (as per Section 4)

6.2 No Token-to-Money Conversion

6.3 No Refund Policy

6.4 Token Expiration and Forfeiture

We reserve the right to implement token expiration policies. If tokens expire, they cannot be reinstated, and no refunds will be issued. You are responsible for using your tokens before they expire.

7. User Conduct and Responsibilities

7.1 Prohibited Activities

You agree NOT to:

• Post the same review content multiple times
• Engage in any activity that could result in Google account suspension
• Misrepresent your identity or business relationship

7.2 Compliance with Google Policies

You are solely responsible for ensuring that:

• All reviews you post comply with Google's terms of service and content policies
• You have actually used the business you are reviewing
• Your review content is authentic and reflects your genuine experience
• You comply with all applicable laws and regulations

7.3 Consequences of Policy Violations

If you violate these Terms or Google's policies, we reserve the right to:

• Suspend or terminate your account
• Cancel pending review exchanges
• Forfeit any tokens associated with violations
• Take legal action if necessary

8. AI-Generated Review Content

8.1 AI Review Generation

We provide AI-powered tools to help generate review content. However:

• AI-generated content is a starting point and should be personalized by you
• You are responsible for editing and customizing AI-generated reviews to reflect your actual experience
• You must ensure that AI-generated content, once customized, accurately represents your genuine experience with the business
• Using identical AI-generated content without modification may violate Google's policies

8.2 No Guarantee of Policy Compliance

We do not guarantee that AI-generated review content will comply with Google's policies. You are solely responsible for ensuring your final review content meets Google's requirements.

9. Limitation of Liability

9.1 Service Availability

We strive to provide reliable service but do not guarantee:

• Uninterrupted or error-free operation of the platform
• That the platform will be available at all times
• That reviews will be posted successfully
• That reviews will remain visible on Google

9.2 No Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

9.3 Limitation of Damages

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NIROSHA ENTERPRISES AND THE DEVELOPERS OF THIS PLATFORM SHALL NOT BE LIABLE FOR:

• Any indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, or business opportunities
• Reviews being removed, hidden, or not displayed by Google
• Google account suspensions or terminations
• Any consequences resulting from reviews posted by users
• Any actions taken by Google regarding reviews or accounts

10. Indemnification

You agree to indemnify, defend, and hold harmless Nirosha Enterprises, its developers, employees, and affiliates from and against any claims, damages, losses, liabilities, costs, and expenses (including legal fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of Google's terms of service or policies
• Any reviews you post or content you provide
• Any actions taken by Google as a result of your use of the Service

11. Account Terms

11.1 Account Registration

To use the Service, you must:

• Be at least 18 years old or have parental consent
• Provide accurate and complete registration information
• Maintain the security of your account credentials
• Notify us immediately of any unauthorized access

11.2 Account Suspension and Termination

We reserve the right to suspend or terminate your account at any time if:

• You violate these Terms
• You violate Google's policies
• We suspect fraudulent or illegal activity
• We are required to do so by law

Upon account termination, you will lose access to all tokens and data, and no refunds will be issued.

12. Intellectual Property

The Platform, including its design, functionality, and content (except user-generated content), is the property of Nirosha Enterprises and is protected by copyright and other intellectual property laws. You may not copy, modify, distribute, or create derivative works of the Platform without our written permission.

13. Privacy

Your use of the Service is also governed by our Privacy Policy. Please review our Privacy Policy to understand how we collect, use, and protect your information.

14. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of significant changes via email or through the platform. Your continued use of the Service after changes are posted constitutes your acceptance of the modified Terms.

15. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction where Nirosha Enterprises operates. Any disputes arising from these Terms or your use of the Service shall be resolved through binding arbitration or in the appropriate courts of that jurisdiction.
